Source text - Spanish CONTRATO DE TRANSFERENCIA DE DERECHOS A CAMBIO DE BONOS Y FIDEICOMISOS DE COBRANZA Y GARANTIA
Conste por el presente documento el contrato de Transferencia Temporal de Derechos a Cambio de Bonos y Fideicomiso de Cobranza y Garantía, que celebran de una parte:
BANCO NUEVO MUNDO con R.U.C. -XXXXX-, con domicilio en Av. Paseo de la República 3033, distrito de San isidro, debidamente representado por su Presidente Ejecutivo, Sr. -XXXXX-, con D.N.I. N° -XXXXX-, según poderes inscritos en el asiento 3-C de la ficha 90129 del Registro Mercantil de Lima, y por su Vicepresidente Gerente General, Sr. XXXXX-, con D.N.I. N° XXXXX-, según poderes inscritos en el Rubro C-00017 de la partida 02006790 del Registro de Personas Jurídicas de Lima, a quien se le denominará la IFI.
CORPORACIÓN FINANCIERA DE DESARROLLO S.A., COFIDE, con R.U.C. N° -XXXXX-, con domicilio en Augusto Tamayo N°160, San Isidro, Lima, en representación del Ministerio de Economía y Finanzas, en adelante el MEF, debidamente representada por su Gerente de Fideicomisos, Sr. XXXXX-, identificado con DNI N°-XXXXX-, y por su Gerente de Créditos, Sr. XXXXX-, identificado con DNI N° -XXXXX-, ambos con poderes inscritos en la ficha N° -XXXXX- del Registro Mercantil de Lima, a quien en adelante se le
denominará COFIDE.
El convenio se celebra en los términos y condiciones de las cláusulas siguientes:
PRIMERA: ANTECEDENTES
1.1 Mediante Decreto Supremo N° 099-99-EF, se autorizó al Ministerio de Economía y
Finanzas a emitir Bonos del Tesoro Publico, en adelante Bonos D.S. 099-99-EF hasta por la suma de US $ 400'000,0(30.00 (CUATROCIENTOS MILLONES y 001100 de DOLARES DE LOS ESTADOS UNIDOS DE AMERICA). Asimismo, se autorizó a las empresas de operaciones múltiples del Sistema Financiero, (en adelante IFIS), a transferir temporalmente al MEF parte de su portafolio, para recibir
a cambio los referidos Bonos D.S. 099-99-EF.
1.2 Por Resolución Ministerial N° 134-99-EF/77, se designó a COFIDE fiduciario de los
Bonos D.S. 099-99-EF y se aprobó el Reglamento Operativa para la aplicación de dichos Bonos, en adelante EL REGLAMENTO el que forma parte integrante del presente contrato como Anexo D.
1.3 Mediante Convenio de Fideicomiso de fecha 12 de Julio de 1999, celebrado entre
COFIDE y el Ministerio de Economía y Finanzas, éste autorizó a COFIDE para que en su nombre y representación recita de las IFIS el portafolio que le transfieren en contraprestación de los Bonos D.S. 099-99-EF que COFIDE les haya colocado.
Translation - English CONTRACT FOR THE TEMPORARY TRANSFER OF RIGHTS IN EXCHANGE OF BONDS AND COLLECTION AND GUARANTY TRUSTS
This document sets forth the contract for the Temporary Transfer of Rights in exchange of Bonds and Collection and Guaranty Trusts, entered into on the one hand by:
1.- BANCO NUEVO MUNDO with National Tax Registration No. -XXXXX-, registered in Av. Paseo de la República 3033, district of San Isidro, duly represented by their executive president, Mr. -XXXXX-, with National Identification Card No. -XXXXX-, by the registered powers in entry 3-C of file 90129 of the Commercial Registry of Lima, and by their General Manager and Vice-President, Mr. -XXXXX-, with National Identification Card No. -XXXXX-, by the registered powers under section C-00017 from record 02006790 of the Registry of Legal Entities of Lima, herienafter referred to as IFI.
2.- CORPORACIÓN FINANCIERA DE DESARROLLO S.A., COFIDE with National Tax Registration No. -XXXXX-, domiciled in Augusto Tamayo No. 160, San Isidro, Lima, representing the Department of Economy and Finance, hereinafter referred to as the MEF, duly represented by their Trusts Manager, Mr. -XXXXX-, identified by his National Identification Card No. -XXXXX-, and by their Loan Manager, Mr. -XXXXX-, identified by his National Identification Card No. -XXXXX-, both with powers registered under file No. 1108 of the Commercial Registry of Lima, hereinafter referred to as COFIDE.
The agreement is entered into under the terms and conditions of the following clauses:
FIRST: BACKGROUND
1.1 By Supreme Decree No. 099-99-EF, the Department of Economy and Finance was authorized to issue Bonds to the Public Treasury, hereinafter referred to as099-99-EF Bonds, up to the amount of 400,000,000.00 USD (FOUR HUNDRED MILLION AND 00/100 UNITED STATES OF AMERICA DOLLARS). Furthermore, the companies with multiple operations in the Financial System (hereinafter referred to as IFIS), were authorized to temporarily transfer part of their portfolio to the MEF, in order to receive the aforementioned 099-99-EF Bonds.
1.2 By Ministerial Resolution No. 134-99-EF/77, COFIDE was the designated trustee of the 099-99-EF Bonds, and the operational regulation was approved for the implementation of said Bonds, hereinafter referred to as THE REGULATIONS, which is an integral part of the present contract as Annex D.
1.3 By agreement of a Trust dated July 12, 1999, entered into by COFIDE and the Department of Economy and Finance, COFIDE is authorized so that in their name and representation they receive from IFIS the transferred portfolio in consideration of the 099-99-EF Bonds that COFIDE has granted them.
