- che fra le parti sono già intercorse trattative ed intese verbali aventi ad oggetto la possibilità di forniture da parte del Prestatore dei servizi professionali nel campo della consulenza in materia di ricerca e sviluppo, marketing e pubblicità nel settore della -----------.
Si conviene e stipula quanto segue:
1) Il Committente, avendo avuto la possibilità di verificare le capacità professionali del Prestatore, con la presente dà incarico a quest’ultimo di svolgere, nel solo ed esclusivo interesse del Committente stesso, le seguenti attività:
a) consulenza in materia di………………….mirata a………………..;
b) analisi e studio del ………………………….;
c) ogni e qualsiasi altra attività di natura professionale direttamente connessa allo svolgimento delle precedenti.
2) L’incarico viene regolato dagli artt. 2230 e seguenti del codice civile italiano.
3) Il presente contratto, per la prima scadenza definita “di prova” ha durata fino al 31/12/2006.
4) Il Prestatore dovrà svolgere la propria attività in piena autonomia organizzativa e senza vincolo di subordinazione né di orario nei confronti del Committente.
5) Il Committente dovrà collaborare fattivamente con il Prestatore fornendogli tutte le notizie e le informazioni necessarie per la completa realizzazione dell’incarico affidato.
6) Il Prestatore, per l’opera effettivamente svolta, avrà diritto ad un corrispettivo che sarà commisurato ai risultati produttivi e commerciali effettivamente ottenuti dal Committente, che viene indicato in euro …… complessivi.
7) Per quanto non previsto dal presente contratto, le Parti fanno esplicito riferimento alle norme di legge ed in mancanza agli usi e consuetudini.
Translation - English Whereas
- the Parties have already held talks and reached verbal understandings on the question of the possibility of the Service Provider supplying professional services in the field of consultancy regarding research and development, marketing and advertising in the ----------- sector
It is agreed and stipulated that:
1) The Contractor, having had the possibility of verifying the Service Provider's professional capabilities, hereby appoints the latter to perform, in the sole and exclusive interests of the Contractor himself, the following activities:
a) Consultancy regarding………………….aimed at………………..;
b) Analysis and study of ………………………….;
c) Each and every other activity of a professional nature directly connected with the performance of the above items.
2) The appointment is governed by article walls 2230 et seq. of the Italian Civil Code.
3) This contract, for the first expiry date defined as "trial period" has a term lasting until 31/12/2006.
4) The Service Provider shall carry out his business in full organisational autonomy and without obligation of subordination or working hours towards the Contractor.
5) The Contractor shall actively co-operate with the Service Provider supplying him with all the necessary information and data for the full execution of the appointment entrusted to him.
6) For the work effectively carried out, the Service Provider shall be entitled to a money consideration which will be commensurate to the productive and commercial results effectively obtained by the Contractor; this is specified as an overall amount of …… euro.
7) The Parties refer explicitly to the rule of law for any aspects not mentioned in this contract and, failing that, to customs and practices.
