GENERAL CONDITIONS OF SALE
By and between x.y., whose registered office is in ___, represented by its legal representative Mr ___ (hereinafter referred to as the SELLER);
and
T.Z., whose registered office is in ___ represented by its legal representative Mr ___ (hereinafter referred to as the BUYER);
WITNESSETH:
- whereas the SELLER is an Italian company which manufactures and markets ___ as of Annex 1 hereto (hereinafter the PRODUCTS);
- whereas the parties agree that all the PRODUCTS supplied by the SELLER to the BUYER shall be governed by the general conditions as provided herein;
Therefore, in consideration of the mutual covenants herein contained, it is agreed as follows:
1. RECITAL AND ANNEXES
1.1 The recitals and the Annexes are an integral part of these general conditions of sale.
2. ORDERS AND DELIVERIES OF THE PRODUCTS
2.1 No order of the BUYER shall be binding for the SELLER unless expressly accepted in writing by the SELLER.
2.2. The PRODUCTS shall be delivered by the SELLER to the BUYER Ex Works (EXW) - SELLER’s plant at ___ within ___ days from the SELLER’s acceptance of the relevant order.
2.3 The SELLER shall not be liable for any loss or damage to the PRODUCTS after delivery to the BUYER; in no case shall the BUYER be relieved from its obligation to pay the price of the PRODUCTS when loss or damage to the PRODUCTS occurs after the transfer of risk on the BUYER.
2.4 The SELLER shall be entitled to withhold the delivery of the PRODUCTS in the event that the BUYER fails to make payment thereof.
2.5 In the event of delay in delivery of the PRODUCTS, for which the SELLER may be responsible, the BUYER shall not be entitled to any compensation, under any form, for the damages it may suffer.

CONDIZIONI GENERALI DI VENDITA
Tra x.y., con sede legale in ___, nella persona del legale rappresentante il Sig. ___ (di seguito denominato VENDITORE);
e
T.Z., con sede legale in ___ nella persona del legale rappresentante il Sig. ___ (di seguito denominato ACQUIRENTE);
PREMESSO:
- che il venditore è una società italiana che produce e commercializza ___ come indicato nell'allegato 1 (di seguito i PRODOTTI);
- che le parti convengono che tutti i prodotti forniti dal venditore all'acquirente saranno regolati dalle condizioni generali ivi previste;
Pertanto, in considerazione dei reciproci accordi qui stabiliti, si concorda quanto segue:
1. PREMESSE E ALLEGATI
1.1 Le premesse e gli allegati sono parte integrante delle presenti condizioni generali di vendita.
2. ORDINI E CONSEGNE DEI PRODOTTI
2.1 Nessun ordine dell'acquirente sarà vincolante per il venditore se non espressamente accettato per iscritto dal venditore.
2.2. I prodotti dovranno essere consegnati dal venditore all’acquirente Ex Works (EXW – franco fabbrica) – presso lo stabilimento del venditore situato in ___ entro ___ giorni dall'accettazione da parte del venditore del relativo ordine.
2.3 Il venditore non sarà responsabile per eventuali perdite o danni ai prodotti dopo la consegna all'acquirente; in nessun caso l'acquirente sarà esonerato dall'obbligo di pagare il prezzo dei prodotti qualora si verifichino perdite o danni ai suddetti dopo il trasferimento dei rischi all’acquirente.
2.4 Il venditore avrà il diritto di sospendere la consegna dei prodotti nel caso in cui l'acquirente non riesca a effettuare il pagamento.
2.5 In caso di ritardo nella consegna dei prodotti, di cui il venditore possa essere responsabile, l'acquirente non avrà diritto a nessun risarcimento, sotto qualsiasi forma, per i danni che potrebbe subire.
