Der US-Onlinehändler eBay wehrt sich gegen eine neue Attacke des Investors Carl Icahn. Der für sein aggressives Gebaren bekannte Icahn warf Verwaltungsratsmitgliedern Interessenkonflikte vor und bekräftigte seine Forderung nach einer Abspaltung des eBay-Bezahlservices PayPal. Der Großaktionär, der gut zwei Prozent an eBay hält, kritisierte in einem am Montag veröffentlichten Brief an andere Anteilseigner, Konzernchef John Donahoe bemerke entweder die Probleme nicht oder ignoriere sie. Er unterstellte ihm die Augen vor der Realität zu verschließen.
Der 78-Jährige griff vor allem die langjährigen Verwaltungsratsmitglieder Marc Andreessen und Scott Cook an. So habe Andreessen Geld in fünf direkte eBay-Konkurrenten investiert und berate diese Unternehmen auch. Vier von ihnen seien zugleich Rivalen von PayPal. Zudem kritisierte Icahn, dass Cook im Verwaltungsrat der Softwarefirma Intuit sitze, die mit ihrem Bezahlservice GoPayment ebenfalls mit PayPal konkurriere.
Ebay wies die Kritik umgehend zurück. Es sei für Aktionäre die beste Lösung, wenn PayPal im Konzern bleibe, bekräftigte der Amazon.com -Konkurrent, der sich im Januar ähnlich geäußert hatte. Investoren gehen offenbar dennoch davon aus, dass Icahn mit seiner Kritik Entscheidungen beeinflussen könnte: Die eBay-Aktie stieg um 3,4 Prozent.
Ebay hatte im Januar mitgeteilt, dass sich Icahn an der Firma beteiligt habe und die Abspaltung von PayPal verlange. Der Verwaltungsrat lehnte dieses Ansinnen jedoch ab mit der Begründung, die verschiedenen Sparten ergänzten sich. Ebay hatte PayPal 2002 gekauft. Es ist das zweitwichtigste Standbein nach dem Ebay- Marktplatz. Um seine Interessen durchzusetzen, verlangte Icahn zwei Sitze im Ebay-Verwaltungsrat.
Icahn kauft in der Regel vergleichsweise kleine Anteile von Unternehmen, stellt dann lautstark Forderungen und löst so in den betroffenen Konzernen Aufregung auf. US shopping website eBay is defending itself against a new attack from investor Carl Icahn. Renowned for his aggressive demeanour, Icahn has accused members of the board of directors of conflicts of interest and reinforced his demand for a spin-off of PayPal, eBay’s payment service. In a letter to other shareholders published on Monday, the major shareholder with more than 2% shares in eBay criticized eBay CEO John Donahoe for failing to identify and ignoring the problems. Icahn also accused Donahoe of turning a blind eye to what was happening within the company.
The long-term eBay board members Marc Andreessen and Scott Cook endured the largest burden of criticism from the 78 year old. Icahn alleges that Andreessen had invested in and is actively advising five direct competitors of eBay with four also being direct competitors to PayPal. Additionally, Icahn criticizes Cook for sitting on the board of software company Inuit, whose payment service Go-Payment is also in direct competition with PayPal.
Ebay brushed off the criticism. The competitor to Amazon.com, who expressed similar sentiments in January, reinforced that a PayPal spin-off would not be the “best way of maximising shareholder value.” However, it seems that investors believe that Icahn could influence decisions with his criticism – eBay stocks climbed around 3.4 percent.
In January eBay announced that Icahn joined the company and called for the spin-off of PayPal. The board reportedly rejected his request with the explanation that the separate branches complete each other. EBay bought PayPal in 2002, after which it became the company’s second most important mainstay after the eBay Marketplace. For the purpose of advancing his interests, Icahn has demanded two seats on the eBay board of directors.
Icahn usually buys comparatively small shares in businesses. He then makes very vocal demands that create a stir within the corporations concerned. His goal is to increase the value of his shareholding. To establish the necessary pressure, he needs to convince other shareholders to side with him. Icahn similarly bought into Apple where he demanded an increase in share buyback. The billionaire most recently took on Apple and PC manufacturer Dell.

During my studies I have aided a lot of graduate students in transcription and translation of documents, research articles and textbooks. Last year I worked as an inhouse localization expert at Microsoft for their newest XBOX games and features (English-German).
