Manifest’s recent Voting Season Review for 2002-2003 noted that approximately 35% of currently serving directors among FTSE 100 companies retired and stood for re-election. This figure does not reflect directors who retired and did not seek re-election. The figures showed that FTSE 100 companies are, on an aggregate basis, complying with the retirement by rotation provisions. AstraZeneca requires their entire board to be proposed for re-election by shareholders annually. [...] Similarly all the directors at Xstrata were put forward for shareholder approval following its initial listing.

However, approximately 30 companies across the FTSE All-Share still do not comply with the recommendations of the Combined Code as their retirement by rotation provisions only require one-third of directors to retire each year, with no assurance from the Company concerned that each director retires at least every three years.
For example, at Town Centre Securities the 76 year old executive chairman, Arnold Ziff, who has been chairman of the company since 1959, is not required to offer himself for retirement by rotation under the Articles of Association. The chairman & managing director of Castings, Brian Cooke, similarly is exempted from retiring by rotation. Cooke was first appointed to the Board in 1969 and serves under a 24 months’ rolling service contract.
