// Maintenant qu'on a la définition: Titres/Valeurs/Actifs de transfert, mais je crois que "Apport/Titres d'apport transférable/s" would also fit.

processus de transfert d'intérêts
Transfer of equity is an English legal term for the process where the ownership of a share or interest in a property is transferred from one entity to another, a partial conveyance.[1]
Transfers of equity can take place for multiple reasons. Examples include:
Marriage or living together: When people marry they often transfer the property into the names of both parties.
Divorce or separation: When a couple divorce or separate, property is typically transferred, sometime with compensation. Restructuring a joint mortgage requires the mortgage company's consent.
Tax planning: Property owners may transfer equity to their children or other family members to manage their tax liabilities.
Transferring equity can be complex, involving land registry applications and stamp duty land tax forms. In these circumstances, a transfer of equity usually involves a conveyancing practitioner to deal with the formalities.

A Processus cannot be sold. XXX shall be bound and obligated to purchase the Transfer Equity on the terms (including price) reflected in the Offer Notice. |

: Whatever "the Transfer Equity" is in this specific ST (more context needed) it CERTAINLY isn't any kind of "processus" - more than enough context to be sure of that.// BASICS of grammar: "transfer" is here used as a qualifier for "assets".

We don't know what exactly this "equity" is made of, and anyway "equity" is a far more general category than "shares" - any better idea?

Titres d'apport cessibles

Discussion
and that is before taking into account that the term is "Transfer Equity"
* ROFO : right of first offer = droit de première offre (ROFO Offer est donc redondant)
(XXX may only Transfer… all… of its… Transfer Equity to YYY, [this] in accordance with Clauses 1 through 5.)
(it doesn't help at all.)
I'm waiting for clarification from the client!
The ROFO Offer contained in an Offer Notice shall be irrevocable and open for acceptance through until the close of business on the date by which an Acceptance Notice or Rejection Notice (in each case, as defined below) is required to be delivered as set out in paragraph (a), and to the extent such ROFO Offer is accepted by ZZZZ, ZZZZ shall be bound and obligated to purchase the Transfer Equity on the terms (including price) reflected in the Offer Notice.
Transfer Equity (the question) and
Only subjective grounds can account for Dario dismissing a definition!
THis is my response to your objection. I looked up the definition of transfer equity. What I found is the following:
'Transfer of equity is an English legal term for the process where the ownership of a share or interest in a property is transferred from one entity to another, a partial conveyance'
This definition accounts for the word 'processus' in my translation.
