Service Provider is an independent contractor and this Agreement is not intended to create any relationship, joint venture, legal partnership or any other legal relationship other than specifically stipulated in this Agreement between X and Service Provider.

Without prejudice to the provisions of Section 10, Service Provider will keep X indemnified in full against all actions, proceedings, costs, claims, demands, awards, fines, orders, expenses and liabilities (including legal and other professional fees and expenses), whenever arising, directly or indirectly, from Service Provider or from any third Party in connection with:

a. the termination of the employment of any of the Service Provider's employees (whether or not terminated by the giving of notice, and if by the giving of notice, whenever that notice expires) by the Service Provider whether before, on or after the termination date of this Agreement;

b. any act or omission of the Service Provider up to and including the termination date of this Agreement in respect of the employment of any of the Service Provider's employees and any claim by any person other than said employee relating to that person's employment by the Service Provider;

c. the contract of employment of a person who is not a service Provider's employees, but who fulfilled the Transport Services on behalf or for the account of Service Provider, and which is deemed to have been affected the termination of this Agreement or which is deemed to have been transferred to X as a result of such termination in accordance with any applicable laws or regulation.
